THIRD-PARTY EXIT / PRACTICAL FIELD NOTE

Plan the vendor exit before handing over your data.

Practical questions about copies, access removal, retention and evidence when a contract ends.

An engraved catalogue, source layers and magnifier; a metaphor for knowing what information exists.
CONCEPTUAL ENGRAVING / DATAGOVERNANCE.CA

Practical information and fictional examples for scoping, not claims of client work, measured results, independent assurance or certification.

Know what went to the vendor

Create a bounded inventory of what the vendor received or created, where it might have been transferred, which users have access and which subprocessors were disclosed. Separate confirmed information from vendor statements that still need evidence. This is easier to do before the contract and integration are live, when changing conditions remains an option.

Confirm rights and operational steps

Review the agreed contractual terms with legal and procurement advisers. Determine how exports would work, which formats are possible, whether data is portable, which backup copies remain and who can authorise termination actions. A contract clause promising deletion does not describe whether a shared export, search index or support copy is affected.

Execute a controlled handover

Before deprovisioning, identify business processes dependent on the service and the acceptance test for replacement. Assign ownership for exporting what is permitted, testing import quality, removing access and recording exceptions. An aggressive exit can interrupt operations if dependencies were not mapped.

Close with a bounded evidence record

Request appropriate confirmation of completed steps and residual limitations. Record whether access was revoked, the date of action, known outstanding copies and review owners. Avoid claiming proof of complete deletion where the organisation lacks access to inspect the provider’s systems. Keep follow-up work named and time-bound.

QUESTIONS BEFORE DECIDING

What buyers usually ask

Does a deletion certificate prove every copy is gone?

It is a statement of a defined process; assess its coverage and evidence before treating it as complete.

Can we reuse vendor data automatically?

Rights and permitted purposes depend on the data and agreements; confirm rather than assume.

NEXT PRACTICAL STEP

Start with one decision, not a platform purchase.

We can discuss a scoped engagement using the context above. Do not send confidential information through an initial inquiry.
